# Kayit: On-device Voice to Text — Terms & Conditions

These terms govern your use of the Kayit application. Please read them carefully. By using Kayit, you agree to them.

## 1. Agreement to terms

These Terms & Conditions (the "Terms") form a binding agreement between you and
Detroit Game Studio, LLC ("we", "us", "our") governing your use of the Kayit
applications for macOS and iOS and this website (together, the "Service"). By
downloading, installing or using Kayit, you agree to these Terms. If you do not
agree, do not use Kayit.

## 2. Apple App Store terms & the standard EULA

Kayit is distributed through the Apple App Store. Your use is also subject to
Apple's [Licensed Application End User License Agreement ("Standard EULA")](https://www.apple.com/legal/internet-services/itunes/dev/stdeula/).
These Terms supplement the Standard EULA. Where these Terms are silent, the
Standard EULA applies; where these Terms add detail specific to Kayit, they
control to the extent permitted. You acknowledge that:

- The license granted is limited to use on Apple-branded devices you own or
  control, as permitted by the App Store Terms of Service.
- **Apple is not a party to these Terms** and is not responsible for Kayit or
  its content. Apple has no obligation to provide support for Kayit.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and
  may enforce them against you.

## 3. License grant

Subject to these Terms, we grant you a personal, limited, non-exclusive,
non-transferable, revocable license to download and use Kayit for your own
lawful personal or professional purposes. This is a license, not a sale; we and
our licensors retain all rights, title and interest in Kayit that are not
expressly granted to you.

## 4. Subscriptions and billing

Kayit is free to download and free to use for transcription, playback, editing
and text export; no purchase is required for those. Additional features are
offered as an optional subscription, "Kayit Pro."

Kayit Pro is an auto-renewing subscription, available as monthly or
annual plans at the price shown in the App Store at the time of purchase. A new
subscription may include a free trial; unless you cancel at least 24 hours
before the trial ends, it automatically converts to a paid subscription and you
will be charged. Each subscription then renews automatically for the same period
unless you cancel at least 24 hours before the current period ends.

Kayit Pro is a single subscription covering the Mac and iPhone apps together:
one purchase, through your App Store account, unlocks it on both. All payments,
billing and renewals are handled by Apple through your App Store account. We do not process or store your payment details. You can view, manage
or cancel your subscription, or turn off auto-renewal, at any time in your App
Store account settings; cancellation takes effect at the end of the current
billing period. Except where required by law, payments are non-refundable, and
refund requests are handled by Apple under its terms.

## 5. Acceptable use

You agree that you will not:

- Use Kayit for any unlawful purpose or in violation of any applicable law or
  regulation, including laws governing the recording of conversations, consent,
  wiretapping, privacy and data protection in your jurisdiction;
- Copy, decompile, reverse-engineer, disassemble, attempt to derive the source
  code of, modify or create derivative works of Kayit, except to the extent this
  restriction is prohibited by applicable law or permitted by the license terms
  of its open-source components;
- Rent, lease, lend, sell, redistribute or sublicense Kayit;
- Remove, obscure or alter any proprietary notices or attributions.

> **Recording is your responsibility.** Laws about recording conversations and
> interviews vary widely by country and region, and some require the consent of
> all parties. You are solely responsible for obtaining any necessary consents and
> for complying with all laws applicable to your recordings and their use.

## 6. Your content

Kayit processes your audio, transcripts, quotes and related files entirely on
your device, on both the Mac and the iPhone app. We do not receive, access,
store or claim any ownership of your content. As between you and us, **you retain all rights to your content**, and
you are solely responsible for it, including maintaining your own backups.

## 7. On-device processing & model downloads

Kayit performs transcription and related processing locally on your Mac or
iPhone. To function, it downloads machine-learning models over the internet on
first use, as described in our [Privacy Policy](https://kayit.press/privacy). An
internet connection is therefore required the first time you transcribe, and
again the first time you use certain optional features. You are responsible for
any data or bandwidth charges associated with these downloads. Availability of a
model download depends on third-party hosting that we do not control.

**Your own backups are your responsibility.** Kayit stores your interviews on
your device and does not keep a copy. Section 5 of the
[Privacy Policy](https://kayit.press/privacy) explains how your device's own
backup settings affect them.

## 8. Third-party and open-source components

Kayit incorporates third-party open-source software and machine-learning models,
each provided under its own license (including the MIT and Apache 2.0 licenses
and the SIL Open Font License). The applicable notices and full license texts
are provided within the app's Acknowledgements. Your use of those components is
governed by their respective licenses, which in case of conflict control over
these Terms with respect to those components.

## 9. No warranty

To the maximum extent permitted by applicable law, Kayit is provided **"as is"
and "as available," without warranties of any kind**, whether express, implied
or statutory, including implied warranties of merchantability, fitness for a
particular purpose, accuracy, and non-infringement. We do not warrant that Kayit
will be uninterrupted or error-free, or that transcriptions, speaker labels,
summaries or other outputs will be accurate or complete. **Automated
transcription can contain errors; you are responsible for reviewing and
verifying any output before relying on or publishing it.**

## 10. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Detroit Game
Studio, LLC be liable for any indirect, incidental, special, consequential,
exemplary or punitive damages, or for any loss of data, profits, revenue,
goodwill or sources, arising out of or relating to your use of or inability to
use Kayit, even if advised of the possibility of such damages. To the extent
liability cannot be excluded, our total aggregate liability to you for all
damages, other than as required by applicable law in cases involving personal
injury, will not exceed fifty dollars (USD $50), consistent with the Standard
EULA. Some jurisdictions do not allow certain limitations, so some of the above
may not apply to you.

## 11. Indemnification

You agree to indemnify and hold harmless Detroit Game Studio, LLC from any
claims, damages, liabilities and expenses arising out of your misuse of Kayit or
your violation of these Terms or of any law or the rights of a third party,
including in connection with how you record, transcribe or use interview
content.

## 12. Termination

These Terms apply until terminated. Your rights under them end automatically if
you fail to comply with any of their provisions. Upon termination, you must stop
using Kayit and delete it. Sections that by their nature should survive
(including ownership, disclaimers, limitation of liability and indemnification)
will survive termination.

## 13. Export compliance

You agree to comply with all applicable export and re-export control laws and
regulations. Kayit uses only standard, exempt encryption (HTTPS/TLS) and is
declared accordingly.

## 14. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the
"Last updated" date above. Your continued use of Kayit after changes take effect
constitutes acceptance of the revised Terms.

## 15. Governing law

These Terms are governed by the laws of the United States and the state in which
the developer resides, without regard to conflict-of-laws principles, and
subject to any mandatory consumer-protection laws of your country of residence.
Nothing in these Terms limits any statutory consumer rights that cannot be
waived.
